These Terms & Conditions constitute a legally binding agreement between you and Cheers Mate. By downloading, installing, or using the application, you agree to be bound by these terms. If you do not agree, do not use the application.

🍻 Social Dining Platform — Not a Dating App

Cheers Mate is strictly a social dining and beverage companion platform. The application is designed solely to connect individuals for spontaneous shared meals, brunches, lunches, breakfasts, and drinks. Cheers Mate is not a dating application, romantic matchmaking service, or adult platform of any kind. Any use of the platform for romantic solicitation, sexual purposes, or harassment is strictly prohibited and will result in immediate account termination.

Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") are entered into between Cheers Mate, LLC ("Company," "we," "us," or "our"), a Florida limited liability company, and you ("User," "you," or "your") as a user of the Cheers Mate mobile application and related services (collectively, the "Platform" or "Service").

By accessing or using the Cheers Mate application, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies incorporated herein by reference. These Terms apply to all visitors, users, and others who access or use the Service.

Your continued use of the Platform following any updates to these Terms constitutes your acceptance of the revised Terms. We encourage you to review this Agreement periodically.

Electronic Agreement: You acknowledge that these Terms form a binding contract even though they are in electronic form and are not physically signed. Florida's Electronic Signature Act (Fla. Stat. § 668.50) recognizes the validity of electronic agreements. Your affirmative acceptance of these Terms during account registration — including the date, time, and version of the Terms accepted — is recorded and retained by Cheers Mate and constitutes conclusive evidence of your agreement.

Description of Service

Cheers Mate is a social companion matching platform that enables registered users to find a single partner for spontaneous shared dining and beverage experiences, including but not limited to:

  • Breakfast meetups
  • Brunch outings
  • Lunch engagements
  • Coffee or tea sessions
  • Casual drinks and beverage companionship
  • Spontaneous dining at restaurants, cafés, bars, or similar venues

Core Platform Mechanics

The Service operates on the following model:

  1. A registered user ("Requester") creates a spontaneous activity request specifying the type of meal/activity, preferred location, date, time, and any relevant details.
  2. Another registered user ("Companion") accepts the request to join the activity.
  3. All activities on Cheers Mate are strictly limited to two (2) participants — the Requester and one Companion.
  4. Users independently arrange and attend the activity at a mutually agreed public venue.
  5. Cheers Mate serves as a technology intermediary only and does not organize, host, supervise, or participate in any in-person activity.

Not a Dating Service: Cheers Mate is expressly not a dating app, romantic matchmaking service, escort service, or adult platform. The sole purpose of the Service is to facilitate spontaneous social dining and drinking companionship in a friendly, non-romantic context. Any attempt to use the Platform for romantic, sexual, or commercial companionship purposes is strictly prohibited.

Interactive Computer Service Status

Cheers Mate is a provider of an interactive computer service within the meaning of Section 230 of the Communications Decency Act (47 U.S.C. § 230). All User Content, activity requests, profiles, and communications on the Platform are created by users, not by Cheers Mate. Cheers Mate does not create, develop, control, direct, or endorse any User Content or any user's conduct, whether online or offline, and shall not be treated as the publisher or speaker of any information provided by users of the Platform.

Eligibility Requirements

To use Cheers Mate, you must meet all of the following eligibility criteria:

Age Requirement

You must be at least 18 years of age to create an account or use the Platform. By registering, you represent and warrant that you are 18 years of age or older. The Company reserves the right to request age verification at any time and to terminate accounts of users who cannot verify their age. Cheers Mate complies with the Children's Online Privacy Protection Act (COPPA) and does not knowingly collect information from individuals under 13.

For activities involving the consumption of alcoholic beverages, users must comply with applicable legal drinking age requirements. In Florida and throughout the United States, the legal drinking age is 21 years of age.

Legal Capacity

You must have the legal capacity to enter into a binding contract under Florida law. Persons who have been declared legally incompetent or who are under guardianship may not use the Service.

Geographic Availability

The Service is available in jurisdictions where it is lawful to use. By using Cheers Mate, you represent that your use complies with all local, state, and federal laws applicable to your location.

Account in Good Standing

You must not have had a prior Cheers Mate account suspended or terminated for violations of these Terms.

Verification: Cheers Mate may implement identity or age verification procedures at its sole discretion. Users who fail or refuse to complete verification may have their access suspended or terminated without prior notice.

Account Registration & User Responsibilities

To access the features of the Platform, you must register and create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to ensure it remains accurate
  • Use your real identity — no fictitious names, aliases, or impersonation of any person or entity
  • Maintain the confidentiality of your password and account credentials
  • Accept full responsibility for all activities that occur under your account
  • Immediately notify Cheers Mate of any unauthorized use of your account at support@cheersmate.app

Profile Content

Your profile must contain an accurate photograph that clearly shows your face. Profile photos that are misleading, obscene, or that belong to another individual are strictly prohibited. Cheers Mate reserves the right to review and remove profile content that violates these Terms.

One Account Per User

Each user is permitted to maintain only one active account. Creating multiple accounts to circumvent suspensions, bans, or platform restrictions is prohibited and may result in permanent termination of all associated accounts.

Account Security: You are solely responsible for the security of your account. Cheers Mate will not be liable for any loss or damage arising from your failure to maintain account security.

Prohibited Conduct

You agree not to engage in any of the following prohibited activities while using the Cheers Mate Platform. Violations may result in immediate account suspension, termination, and/or reporting to appropriate law enforcement authorities.

Identity & Misrepresentation

  • Impersonating any person, entity, or organization
  • Providing false, misleading, or inaccurate information in your profile or communications
  • Using photographs of another person without their consent
  • Misrepresenting your age, profession, or personal characteristics

Sexual & Romantic Harassment

  • Using Cheers Mate for romantic solicitation, dating, or sexual purposes of any kind
  • Sending sexually explicit, suggestive, or harassing messages to other users
  • Pressuring other users into romantic or physical contact
  • Using the Platform to solicit, offer, or arrange escort services or any form of commercial companionship

Illegal Activities

  • Using the Platform to facilitate any illegal activity under Florida law, federal law, or applicable local ordinances
  • Purchasing, selling, distributing, or arranging the exchange of illegal drugs or controlled substances
  • Providing alcohol to minors (persons under 21 in the United States) in violation of Florida Statute § 562.11
  • Engaging in any form of human trafficking, exploitation, or coercion
  • Violating any applicable local, state, national, or international law or regulation

Platform Integrity

  • Reverse engineering, decompiling, or disassembling any portion of the application
  • Scraping, harvesting, or collecting user data without express written authorization
  • Attempting to gain unauthorized access to any part of the Service or its systems
  • Interfering with or disrupting the integrity or performance of the Platform
  • Transmitting viruses, malware, or any other harmful code

Commercial Exploitation

  • Using the Platform for any commercial solicitation, advertising, or promotional purposes without prior written consent
  • Selling, transferring, or licensing your account to any third party

Florida Law Compliance: Users are reminded that Florida imposes specific laws regarding alcohol service (Fla. Stat. § 562), stalking and harassment (Fla. Stat. § 784.048), and sexual battery (Fla. Stat. § 794.011). Violations of these statutes through or in connection with the Cheers Mate platform may result in criminal prosecution.

Safety & In-Person Meetups

Your personal safety is your responsibility. Cheers Mate provides a technology platform to connect users but does not supervise, organize, or participate in any in-person activity. You acknowledge and agree to the following safety terms:

No Supervision or Guarantee of Safety

Cheers Mate does not conduct criminal background checks, identity verification beyond profile review, or reference checks on users. The Company makes no representations, warranties, or guarantees regarding the character, behavior, identity, or intentions of any user. You assume all risk associated with meeting another user in person.

Public Venue Requirement

All Cheers Mate meetups must take place in publicly accessible venues such as restaurants, cafés, coffee shops, bars, or similar public establishments. Users are strongly discouraged from meeting at private residences, remote locations, or any venue that is not open to the general public.

User Safety Recommendations

Although not mandatory, Cheers Mate strongly recommends that users:

  • Inform a trusted friend or family member of the meetup details (location, time, and the other user's profile)
  • Meet for the first time only in well-lit, populated public places
  • Arrange your own transportation to and from the venue
  • Avoid sharing sensitive personal information (home address, financial details, workplace address) with other users before establishing trust
  • Trust your instincts — if you feel unsafe at any point, leave immediately
  • Keep your mobile phone charged and accessible throughout the meetup

Assumption of Risk

PLEASE READ THIS PROVISION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. BY USING THE CHEERS MATE PLATFORM TO ARRANGE IN-PERSON MEETUPS, YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH MEETING OTHER USERS IN PERSON, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, EMOTIONAL DISTRESS, AND HARM ARISING FROM THE CONDUCT OF OTHER USERS. YOU ACKNOWLEDGE THAT CHEERS MATE DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON USERS AND MAKES NO GUARANTEES ABOUT ANY USER'S IDENTITY, CHARACTER, OR CONDUCT. TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, CHEERS MATE SHALL NOT BE LIABLE FOR ANY HARM, INJURY, LOSS, OR DAMAGE ARISING FROM IN-PERSON ACTIVITIES ARRANGED THROUGH THE PLATFORM.

Reporting Safety Concerns

If you experience harassment, misconduct, or any concerning behavior from another user — whether online through the app or during an in-person meetup — you are encouraged to report it immediately within the application via the Report function, or by contacting us at safety@cheersmate.app. Cheers Mate will review all reports and take appropriate action, which may include account suspension or termination and, where required by law, reporting to law enforcement.

Emergency: In the event of an emergency, always contact local emergency services immediately. In the United States, dial 911. Do not rely solely on the Cheers Mate reporting system in emergency situations.

Alcohol Policy

Cheers Mate is a platform that facilitates social activities which may include the consumption of alcoholic beverages. The following terms govern alcohol-related activities arranged through the Platform:

Cheers Mate Does Not Sell or Serve Alcohol: Cheers Mate does not sell, serve, furnish, supply, or provide alcoholic beverages in any manner, and does not select, operate, or control any venue where users choose to meet. Cheers Mate is a technology intermediary only. All decisions regarding venue selection, alcohol purchase, and alcohol consumption are made solely and independently by users and the licensed establishments they patronize.

Legal Drinking Age Compliance

Users who participate in activities involving alcohol must be of legal drinking age. In the State of Florida and throughout the United States, the minimum legal drinking age is 21 years of age, as mandated by the National Minimum Drinking Age Act (23 U.S.C. § 158) and Florida Statute § 562.11. By accepting a request that involves alcohol, you represent that you are 21 years of age or older.

No Facilitation of Underage Drinking

It is a violation of these Terms and a criminal offense under Florida law to purchase, serve, or otherwise provide alcohol to a person under the age of 21. Any user found to have facilitated underage drinking through the Platform will be immediately and permanently banned and may be reported to law enforcement.

Responsible Consumption

Cheers Mate does not encourage excessive alcohol consumption. Users are solely responsible for their own alcohol consumption and its consequences. Cheers Mate shall not be liable for any injury, property damage, DUI offense, or other harm resulting from alcohol consumption during or after activities arranged through the Platform.

Impaired Driving

Cheers Mate strongly discourages driving under the influence of alcohol or any substance. If you consume alcohol during a meetup, arrange a safe ride home through a licensed transportation service. Driving under the influence is a serious criminal offense under Florida Statute § 316.193 and may result in injury, death, and criminal prosecution.

Florida Dram Shop Liability Notice

Under Florida's Dram Shop Act (Fla. Stat. § 768.125), social hosts may bear liability in limited circumstances for serving alcohol to habitually addicted persons or to persons under the legal drinking age. Users assume full personal responsibility for their own alcohol service decisions during meetups arranged through the Platform. Cheers Mate expressly disclaims any liability under dram shop or social host liability theories.

User Content

"User Content" means any content, information, data, text, photographs, images, or materials that you submit, post, or otherwise make available through the Platform, including your profile, activity requests, and in-app messages.

License Grant

By submitting User Content to Cheers Mate, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, display, and perform the User Content in connection with operating and improving the Platform. This license terminates when you delete your content or account, subject to reasonable backup and archival retention periods.

Your Representations

You represent and warrant that:

  • You own or have the necessary rights to submit all User Content
  • Your User Content does not violate any third-party intellectual property rights, privacy rights, or other legal rights
  • Your User Content does not contain false, misleading, defamatory, obscene, or harmful material
  • Your User Content complies with all applicable laws

Content Moderation

Cheers Mate reserves the right, but has no obligation, to review, monitor, edit, or remove User Content at its sole discretion, including content that violates these Terms or that we find objectionable for any reason. The Company is not responsible for User Content posted by users.

Privacy Policy

Your use of Cheers Mate is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Data Collection

Cheers Mate collects personal information necessary to provide the Service, including name, email address, date of birth, profile photograph, location data (with your permission), device information, and activity history. We do not sell your personal information to third parties for their independent marketing purposes.

Location Data

The Service may use your device's location services to help you find nearby activity requests and compatible companions. Location data is only collected while you are actively using the application. You may disable location services through your device settings, though this may limit the functionality of the Service.

Florida Privacy Compliance

Cheers Mate complies with applicable Florida privacy laws, including the Florida Information Protection Act (Fla. Stat. § 501.171). We implement reasonable technical and organizational safeguards to protect your personal information from unauthorized access, disclosure, or misuse.

Federal Compliance

The Platform complies with applicable federal privacy laws, including the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect personal information from persons under the age of 13.

Intellectual Property

The Cheers Mate application, including its design, code, content, features, trademarks, logos, and all other materials (excluding User Content), are the exclusive intellectual property of Cheers Mate, LLC and are protected by United States and international copyright, trademark, patent, and trade secret laws.

Subject to your compliance with these Terms, Cheers Mate grants you a limited, non-exclusive, non-transferable, revocable license to download and use the application on your personal mobile device solely for personal, non-commercial use.

You may not copy, modify, distribute, sell, sublicense, or create derivative works based on any part of the Platform without our prior written consent. Any unauthorized use of our intellectual property may result in legal action.

Disclaimer of Warranties

THE CHEERS MATE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Cheers Mate expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will be uninterrupted, error-free, or free of viruses or other harmful components
  • Any warranty regarding the accuracy, reliability, quality, suitability, or availability of any user, activity request, or in-person meetup facilitated through the Platform
  • Any warranty regarding the behavior, identity, or intentions of other users

Cheers Mate does not endorse, recommend, or vouch for any user on the Platform. You access and use the Service entirely at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW AND APPLICABLE FEDERAL LAW, CHEERS MATE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

This limitation applies to, without limitation:

  • Personal injury, bodily harm, or death arising from in-person meetups arranged through the Platform
  • Any misconduct, harassment, assault, or illegal activity by another user
  • Loss of profits, data, business, or goodwill
  • Unauthorized access to or alteration of your transmissions or data
  • Any matter beyond our reasonable control

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not permitted, our liability shall be limited to the maximum extent permitted by law.

Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Service shall not exceed the greater of (a) $100.00 USD or (b) the amount paid by you to Cheers Mate in the twelve (12) months preceding the claim.

Florida Limitation: Nothing in this Section limits liability for fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be excluded under Florida law.

Indemnification

You agree to defend, indemnify, and hold harmless Cheers Mate, LLC and its officers, directors, shareholders, employees, contractors, agents, licensors, and successors from and against any claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that arise out of or relate to:

  • Your use of or access to the Platform
  • Your violation of these Terms or any applicable law
  • Your User Content or any content you post, transmit, or make available through the Service
  • Your conduct during or in connection with any in-person activity arranged through the Platform
  • Your violation of any third party's rights, including intellectual property rights, privacy rights, or rights of personal safety
  • Any misrepresentation you make to Cheers Mate or to another user

Cheers Mate reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree not to settle any such matter without our prior written consent.

Indemnification Procedure

Cheers Mate will provide you with prompt written notice of any claim subject to indemnification under this Section; provided, however, that any failure or delay in providing such notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure. You agree to cooperate fully with Cheers Mate in the defense of any indemnified claim.

Governing Law & Dispute Resolution

Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or your relationship with Cheers Mate shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in Miami-Dade County, Florida, or remotely if agreed upon.

Your Right to Opt Out of Arbitration

You have the right to opt out of this arbitration agreement. To opt out, you must send written notice to legal@cheersmate.app within thirty (30) days of first creating your Cheers Mate account, stating your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.

Class Action Waiver

You waive any right to participate in any class action, class arbitration, or representative proceeding. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Miami-Dade County, Florida to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Venue

For any claims not subject to arbitration, you consent to personal jurisdiction and venue in the state and federal courts located in Miami-Dade County, Florida.

Time Limitation

To the maximum extent permitted by applicable law, any claim arising under these Terms must be brought within one (1) year after the cause of action accrues, or it will be permanently barred. This limitation does not apply to claims for which Florida law prescribes a mandatory, non-waivable statute of limitations (including personal injury claims), which shall be governed by the applicable statutory period.

Termination

Termination by Cheers Mate

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, including but not limited to cases involving:

  • Violation of any provision of these Terms
  • Conduct that we believe poses a risk to user safety
  • Fraudulent, abusive, or illegal activity
  • Extended periods of account inactivity
  • Legal obligations or court orders requiring termination

Termination by User

You may terminate your account at any time by following the account deletion process within the application settings or by contacting us at support@cheersmate.app. Account deletion will result in the permanent loss of your profile, activity history, and any pending matches.

Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections 6 (Safety & In-Person Meetups, including the Assumption of Risk), 7 (Alcohol Policy), 8, 9, 10, 11, 12, 13, and 14 of these Terms shall survive the termination of your account, and shall continue to apply to any claim arising from activities that occurred during the term of your account.

Modifications to Terms

Cheers Mate reserves the right to modify these Terms at any time. When we make material changes, we will provide notice through the application (via in-app notification or email) at least 14 days before the changes take effect, unless changes are required immediately by law.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account before the changes take effect.

We also reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time with reasonable notice where feasible.

Miscellaneous Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and Cheers Mate with respect to the subject matter hereof and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver. Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign these Terms or any of your rights or obligations hereunder without the prior written consent of Cheers Mate. Cheers Mate may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. Cheers Mate shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, government orders, or internet service disruptions.

Language. These Terms are written in the English language, which shall be the controlling language for all purposes.

By using Cheers Mate, you confirm that you have read, understood, and agreed to these Terms and Conditions.
